These Terms of Service (hereinafter referred to as the "Terms") set forth the conditions regarding the use of products and services (hereinafter referred to as the "Service") provided by EXYOSE Inc. (hereinafter referred to as "EXYOSE") between the customer who uses the Service (hereinafter referred to as the "Member") and EXYOSE.
Agreement to TermsMembers must use the Service in accordance with the provisions of these Terms and may not use the Service unless they agree to these Terms.
If the Member is a minor, please use the Service after obtaining the consent of a legal representative such as a person with parental authority.
If there are individual terms of use for the Service, Members must use the Service in accordance with the provisions of the individual terms of use in addition to these Terms.
Revision of TermsEXYOSE may change these Terms without prior notice. The modified Terms shall take effect from the time they are posted in an appropriate place on the Service. It is deemed that you have given irrevocable consent even after the change of these Terms. We cannot notify individually of the details of such changes. Please refer to the latest Terms whenever you use the Service.
AccountRegistration of member information (creation of an account) is required to use the Service. Members must register true, accurate, and complete information and must correct it so that it is always up-to-date.
When registering authentication information for using the Service, Members must strictly manage it under their own responsibility to prevent unauthorized use. EXYOSE may regard all acts performed using registered authentication information as acts of the Member themselves.
Members registered in the Service may delete their account and withdraw from membership at any time.
EXYOSE may suspend or delete accounts for which more than one year has passed since the date of last use without prior notice to the Member.
All usage rights of the Member in the Service shall expire at the time the account is deleted, regardless of the reason. Even if a Member accidentally deletes their account, the account cannot be restored.
Members shall not allow third parties to use their authentication information, nor shall they lend, transfer, change the name of, sell, pledge, or otherwise dispose of it.
If a Member becomes aware that authentication information has leaked and authentication information is being used by a third party, they shall immediately contact us and follow instructions from EXYOSE, if any.
PrivacyEXYOSE respects the privacy of Members and handles Members' privacy information and personal information appropriately in accordance with the
Privacy Policy, and pays maximum attention to security to safely manage information collected from Members.
Service ProvisionMembers must prepare the necessary personal computers, mobile phones, smartphones, other communication devices, operating systems, communication means, electricity, etc., for using the Service at their own expense and responsibility.
EXYOSE may change all or part of the content of the Service at any time without prior notice to the customer if EXYOSE deems it necessary.
EXYOSE may suspend the provision of all or part of the Service without prior notice to the Member if any of the following applies:
■ When performing system maintenance or repairs.
■ When the provision of the Service becomes impossible due to force majeure such as fire, power outage, accident, natural disaster, war, riot, labor dispute, etc.
■ When a system failure occurs or the system load is concentrated.
■ When it is urgently necessary to ensure the safety of Members or third parties or for the public interest.
■ In addition to the above, when EXYOSE reasonably determines it is necessary.
Advertisement PlacementEXYOSE may place advertisements of EXYOSE or third parties on the Service.
Third-Party ServicesThe Service may include services or content provided by third parties other than EXYOSE. Responsibility for such services or content lies with the third party providing them. In addition, terms of use and other conditions stipulated by the third party providing them may apply to such services or content.
Prohibited ActsEXYOSE prohibits the following acts by Members regarding the Service.
■ Acts that violate laws, court judgments, decisions or orders, or legally binding administrative measures.
■ Acts that may violate public order or morals.
■ Acts of impersonating EXYOSE or a third party, or intentionally spreading false information.
■ Acts of exchanging the right to use the Service for cash, goods, or other economic benefits by methods other than those prescribed by EXYOSE.
■ Providing benefits or other cooperation to anti-social forces.
■ Acts of illegally collecting, disclosing, or providing personal information, registration information, usage history, etc., of others.
■ Acts that interfere with the servers or network systems of the Service; acts of illegally manipulating the Service using BOTs, cheat tools, or other technical means; acts of intentionally using defects in the Service; acts of making unreasonable inquiries or demands to EXYOSE, such as unnecessarily repeating the same questions; and other acts that interfere with or hinder the operation of the Service by EXYOSE or the use of the Service by other customers.
■ Acts of performing reverse engineering or disassembling for an unfair purpose or in an unfair manner, or deciphering the source code by other methods.
■ Acts that aid or encourage any of the acts falling under the above items.
■ In addition to the above, any acts that EXYOSE reasonably determines to be inappropriate.
Responsibilities of MembersMembers shall use the Service at their own risk and shall bear all responsibility for all acts performed in the Service and the results thereof.
If EXYOSE suffers any direct or indirect damage (including the burden of attorney's fees) as a result of a Member's use of the Service (including cases where EXYOSE receives claims from third parties arising from such use), the Member must immediately compensate EXYOSE in accordance with EXYOSE's request.
EXYOSE may take measures that EXYOSE reasonably determines to be necessary and appropriate, such as suspending the use of all or part of the Service, suspending or deleting the account, terminating the contract between the Member and EXYOSE regarding the Service (including contracts based on these Terms; the same applies below), without prior notice to the Member, if the Member falls under any of the following or is likely to fall under them:
■ Violation of applicable laws and regulations, these Terms, or individual terms of use.
■ Being a member of anti-social forces or a related person.
■ Damaging the credit of EXYOSE by spreading rumors, using fraud, force, or other dishonest means.
■ Receiving a petition for seizure, provisional seizure, or auction, or if a petition for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, or similar proceedings has been filed, or in other cases where EXYOSE reasonably determines that customer credit uncertainty has occurred.
■ In addition to the above, when the relationship of trust between the Member and EXYOSE is lost, or in other cases where EXYOSE reasonably determines that the provision of the Service to the Member is not appropriate.
WarrantyEXYOSE does not warrant, either expressly or impliedly, that the Service is free from defects (including security-related flaws, errors, bugs, or infringement of rights), nor its safety, reliability, accuracy, completeness, effectiveness, or fitness for a particular purpose. EXYOSE is under no obligation to provide the Service to Members with such defects removed.
DisclaimerEXYOSE assumes no responsibility for any damages incurred by a Member arising from the Service, except in cases caused by EXYOSE's intentional acts or gross negligence. However, if the contract between a Member and EXYOSE regarding the Service constitutes a consumer contract stipulated in the Consumer Contract Act (hereinafter referred to as "Consumer Contract"), EXYOSE shall not be liable to compensate for damages arising from lost profits or other special circumstances regarding liability for default or tort due to EXYOSE's negligence (including gross negligence).
Relationship with Laws and RegulationsIf any provision of these Terms is held to be contrary to the Consumer Contract Act or other laws and regulations applicable to the contract between a Member and EXYOSE regarding the Service, such provision shall not apply to the contract with the Member to that extent. However, even in this case, it shall not affect the validity of other provisions of these Terms.
Governing Law and JurisdictionThe Japanese version of these Terms shall be the official text, and the governing law shall be Japanese law. The Nara District Court shall be the exclusive agreement jurisdictional court of the first instance for any disputes arising between the Member and EXYOSE arising from or related to the Service.
Means of CommunicationCommunications from EXYOSE to Members regarding the Service shall be made by posting in an appropriate place within the Service or on the website, or by other methods deemed appropriate by EXYOSE.
Communications from Members to EXYOSE regarding the Service shall be made by sending from the form below or by a method specified by EXYOSE.
